Terms & Conditions (Based on German Law)

1. Scope

These Terms & Conditions apply to all contracts, deliveries, and services provided by the Provider in the field of satellite systems (SAT), headend systems, modulators, hotel TVs, IPTV solutions, and related technical services.

2. Legal Basis

All contracts are governed by the laws of the Federal Republic of Germany.
Applicable legal provisions include in particular:

  • German Civil Code (Bürgerliches Gesetzbuch – BGB)

  • German Commercial Code (Handelsgesetzbuch – HGB)

  • German Product Liability Act (Produkthaftungsgesetz – ProdHaftG)

  • German General Terms and Conditions Law (§§ 305–310 BGB)

  • German Data Protection Law (DSGVO / GDPR & BDSG)

The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

3. Offers & Conclusion of Contract

Offers are non-binding unless expressly stated otherwise. A contract becomes binding upon written confirmation or commencement of service.

4. Prices & Payment

All prices are stated in EUR plus statutory VAT unless otherwise indicated.
Invoices are payable within the agreed payment period. In case of default, statutory default interest according to §§ 286, 288 BGB applies.

5. Delivery & Performance

Delivery dates are non-binding unless confirmed in writing. Partial deliveries are permitted unless unreasonable for the Client.
Risk passes to the Client in accordance with § 446 BGB (or § 447 BGB in case of shipment).

6. Retention of Title

Goods remain the property of the Provider until full payment has been received (§ 449 BGB).

7. Warranty

Statutory warranty rights apply (§§ 434 ff. BGB).
For entrepreneurs (B2B), the obligation to inspect and give notice of defects under § 377 HGB applies.

8. Liability

The Provider is liable without limitation in cases of intent and gross negligence.
In cases of slight negligence, liability is limited to breach of essential contractual obligations and foreseeable damages (§ 280 BGB).
Liability under the German Product Liability Act remains unaffected.

9. Data Protection

Personal data is processed in accordance with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG).

10. Place of Jurisdiction

If the Client is a merchant, legal entity under public law, or special fund under public law, the place of jurisdiction is the Provider’s registered office (§ 38 ZPO).

11. Severability Clause

If any provision is invalid, the validity of the remaining provisions remains unaffected (§ 306 BGB).
